Last Updated: June 10, 2026. These terms lay the baseline guidelines for digital platform sprints, IP handovers, and compliance audits with Fluxion Technologies.
Introduction & Scope
Welcome to Fluxion Technologies (hereinafter referred to as the "Agency", "We", "Us", or "Our"). These terms and conditions ("Terms") govern your access to and engagement with our bespoke software development, AI integrations, UI/UX design wireframes, and SRE cloud migration services.
By signing a Statement of Work (SOW), registering a project consultation ticket, or accessing our developer sandbox repositories, you (referred to as the "Client" or "You") agree to be bound Contractually by these Terms.
We design and compile state-of-the-art products built for scale. These Terms ensure transparent sprint operations, security-compliant SDLC procedures, and clean intellectual property transfers.
Sprints & Engagement
Our engineering workflows utilize structured bi-weekly sprints. We skip rigid, slow legacy models in favor of rapid, visible product releases:
- Sprint Delivery: Each sprint cycle delivers a functional iteration, published to a staging sandbox cluster for review.
- Feedback Loops: The Client has 3 business days following sprint delivery to submit feedback, modifications, or anomalies logs.
- Scope Shifts: Minor adjustments are bundled natively into upcoming sprints. Major structural changes require an updated SOW.
We coordinate using dedicated Slack/Discord channels, providing complete developer transparency with daily Git push logs.
Intellectual Property
We believe in absolute transparency regarding code ownership. We treat software as an asset owned entirely by you:
- IP Handovers: 100% of custom source code, design system tokens, database schemas, and media assets are transferred contractually to the Client.
- Release Trigger: Intellectual property transfer is finalized automatically upon receipt of the corresponding sprint invoice payment.
- Agency Tooling: We retain rights to standard library code blocks, boilerplate setups, and general components that do not contain client-proprietary logic.
Fees & Payments
Engagement billing is structured transparently, matching SOW parameters:
- Invoicing: Sprints are invoiced bi-weekly. Payments are due within 7 calendar days of receipt.
- Late Payments: Unpaid invoices exceeding 14 calendar days trigger a temporary suspension of staging deployments.
- Integration Fees: The Client is directly responsible for third-party hosting charges (e.g. AWS, Vercel, Plaid, Stripe API usage).
Confidentiality & NDAs
We enforce strict confidentiality frameworks to protect your business model, customer data, and system structures:
- Mutual NDA: We sign complete, reciprocal Non-Disclosure Agreements (NDAs) prior to accessing any proprietary codebase, API keys, or database clusters.
- Data Restrictions: All customer data utilized in sandboxes must be anonymized. Under no circumstances should real production medical or financial records be transmitted to staging.
Data Safety & Privacy
We build security-first applications. Every line of backend code undergoes vulnerability scanning before git deployment:
- Encryption Standard: Sensitive payloads are encrypted at rest and in transit utilizing industry-standard AES-256 and TLS 1.3 keys.
- Access Hardening: API and database access utilizes granular Role-Based Access Control (RBAC) and AWS KMS secret storage containers.
- Zero Cookie Policy: Our landing page designs operate with clean, privacy-first structures requiring no clunky cookie prompt modules.
Limitation & SLA
While we guarantee state-of-the-art software craft, our structural liability is defined as follows:
- Uptime Target: We maintain a standard 99.9% uptime target for our deployments on AWS/Google Cloud container networks.
- Limitation of Liability: In no event will Fluxion Technologies be liable for lost profits, database anomalies, or third-party service downtimes exceeding the amount paid for the current sprint.
Jurisdiction & Contact
These terms are governed by the laws of India, without regard to conflict of laws principles. Any legal disputes arising from our SOW agreements shall be resolved exclusively within the courts of New Delhi, India.
